1. Acceptance of Terms
By browsing https://codeloset.com, submitting inquiries, engaging CODELOSET for custom engineering services, or enrolling in our educational courses, you agree to be bound by these Terms of Service. If you disagree with any portion of these terms, please do not use our site or services.
2. Software Studio Engagements & Statements of Work
All client engineering projects (custom web applications, mobile apps, multi-agent AI systems, automation pipelines, and UI/UX design) are governed by a mutually agreed Statement of Work (SOW) or written proposal specifying scope, milestones, deliverables, timelines, and payment terms. No verbal agreement alters a written milestone agreement.
3. Intellectual Property Rights & Code Ownership
Custom Deliverables: Upon full and final settlement of agreed milestone invoices, all rights, title, and interest in the custom source code, documentation, and digital assets developed exclusively for the client are assigned to the client.
Pre-Existing Tools & Libraries: Open-source libraries, frameworks (e.g. Next.js, React, Tailwind CSS), and reusable proprietary developer utilities remain governed by their respective open-source licenses or CODELOSET studio ownership.
4. Training Programs & Student Code of Conduct
Students enrolled in CODELOSET developer courses (e.g., Full-Stack Web Development, Mobile Development, AI Integration) agree to respect instructors and fellow batch members, attend scheduled weekend sessions, and complete capstone assignments authentically.
Course materials, session recordings, and custom exercise repositories are provided solely for the personal educational use of the enrolled student and may not be publicly distributed, sublicensed, or resold.
5. Confidentiality & Non-Disclosure
Both CODELOSET and our clients agree to treat confidential trade secrets, API credentials, business logic, customer datasets, and proprietary software architecture with strict confidentiality. Mutual NDAs are executed prior to sharing sensitive project repositories or production keys.
6. Refund & Cancellation Terms
Our refund terms are transparently detailed in our official Refund & Cancellation Policy. Orientation classes are free. Course tuition refunds are available within 7 days of the first paid session. Milestone deposits for uncommenced sprints are refundable upon formal notice.
7. Limitation of Liability & Disclaimers
CODELOSET provides software engineering services in accordance with high industry engineering standards. However, software and third-party AI models (e.g., OpenAI, Anthropic, Google) are subject to external API availability and non-deterministic behavior. In no event shall CODELOSET or its founder be liable for indirect, incidental, or consequential damages exceeding the total amount paid by the client under the specific SOW during the preceding 3-month period.
8. Governing Law & Jurisdiction
These Terms and all service agreements are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, including the Electronic Transactions Ordinance (2002). Any dispute that cannot be resolved amicably through good-faith technical negotiation shall be subject to the jurisdiction of the competent courts of Faisalabad, Pakistan, without prejudice to recognized international commercial arbitration.
